Who We Are and What We Offer
OilRepublic is an online marketplace and jobs board serving Nigeria’s oil and gas sector. The Platform has two main functions:
- Marketplace: registered sellers may list equipment, products, and services for sale, and buyers may browse, contact sellers, and transact in connection with those listings.
- Jobs Board: employers may post job vacancies, and job seekers may create profiles, apply to vacancies, and manage applications.
DMTS Energy LTD (“DMTS Energy,” “we,” “us,” or “our”) provides the Platform as a venue connecting buyers, sellers, employers, and job seekers. Except where we expressly say otherwise, we are not a party to any transaction, sale, employment relationship, or contract formed between users of the Platform.
Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract under Nigerian law to use the Platform. When you register, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately if you suspect unauthorized use of your account.
The Platform supports different account roles, including buyers, sellers, employers, and job seekers. Certain features are only available to specific roles, and some features (such as creating marketplace listings) require additional verification.
Seller Verification and Approval
To list items on the marketplace, sellers must apply for and receive seller verification/approval through the process provided on the Platform. We may request documentation to confirm your identity or business, and we may approve, reject, or revoke seller status at our discretion, including where information provided is inaccurate, incomplete, or where a seller violates these Terms. Unverified accounts may have restricted access to marketplace features until approval is granted.
Listings and Marketplace Conduct
Sellers are solely responsible for the accuracy of their listings, including:
- descriptions, specifications, condition, pricing, and availability of items;
- compliance with applicable Nigerian laws and regulations, including any industry-specific licensing or safety requirements relevant to oil and gas equipment or services; and
- fulfilling any sale agreed with a buyer.
You agree not to post listings that:
- are fraudulent, misleading, counterfeit, stolen, or illegal to sell or export;
- infringe another party’s intellectual property or other rights;
- involve hazardous materials, weapons, or items prohibited under Nigerian law; or
- otherwise violate these Terms or applicable law.
We may remove any listing, suspend or terminate any account, and report suspected unlawful activity to relevant authorities, at our discretion and without prior notice.
Jobs Board
Employers are solely responsible for the accuracy and lawfulness of job postings, including compliance with Nigerian labour law, and for the conduct of their own hiring process. Job seekers are responsible for the accuracy of information in their profiles and applications. DMTS Energy does not guarantee employment outcomes, verify every employer or vacancy, or act as an employment agency, and is not a party to any employment relationship formed as a result of using the Platform.
Payments
Payments made through the Platform (for example, seller or job-posting fees, where applicable) are processed via Paystack, a third-party payment processor. By making a payment, you also agree to Paystack’s applicable terms. DMTS Energy does not store your full card or bank details; these are handled directly by Paystack.
The Platform currently offers its core marketplace and jobs board features free of charge. Certain paid plan tiers exist within the Platform’s design and may be introduced in the future. If and when paid plans are activated, updated pricing and terms will be published on the Platform and, where required by law, communicated to users in advance.
Fees, where charged, are generally non-refundable except as required by law or as expressly stated at the time of purchase.
Transactions Between Users
Any sale, purchase, or employment arrangement made using information found on the Platform is solely between the users involved. DMTS Energy is not responsible for the quality, safety, legality, or delivery of items listed, the truthfulness of any user representation, or the performance of any party to a transaction. We encourage users to exercise reasonable diligence before transacting, including verifying seller identity, inspecting goods, and using secure payment methods.
Prohibited Conduct
You agree not to:
- impersonate any person or misrepresent your affiliation with any entity;
- use the Platform to harass, defraud, or deceive other users;
- scrape, reverse-engineer, or interfere with the Platform’s operation or security;
- upload malicious code or attempt unauthorized access to any account or system; or
- use the Platform for any unlawful purpose.
Intellectual Property
The Platform, including its design, software, and branding, is owned by or licensed to DMTS Energy and is protected by applicable intellectual property laws. You retain ownership of content you submit (such as listing descriptions, job postings, and profile information), but you grant DMTS Energy a non-exclusive, royalty-free license to host, display, and distribute that content as necessary to operate the Platform.
Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
Limitation of Liability
To the fullest extent permitted under Nigerian law, DMTS Energy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform or any transaction between users, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.
Suspension and Termination
We may suspend or terminate your account or access to the Platform at our discretion, including for breach of these Terms, suspected fraud, or unlawful conduct. You may stop using the Platform and close your account at any time by contacting us.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Platform with a revised “Last updated” date. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Nigeria, without regard to conflict of law principles.
